Acceptance of terms

These Terms constitute a legally binding agreement between you (the "Merchant" or "you") and Profit Sentry ("we", "our", "us"). "Service" refers to the Profit Sentry application, dashboard, API integrations, and any related services.

Service description

Profit Sentry is a Shopify application that monitors your Printful fulfilment costs in real time and protects your store margins by taking automated actions (price updates, product status changes, or email alerts) based on configuration settings you define.

We provide the Service on an "as is" basis. While we strive for high reliability and accuracy, we do not guarantee uninterrupted availability or that the Service will detect every Printful cost change in every circumstance. See the Disclaimer and Limitation of Liability sections below.

Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Operate an active Shopify store
• Have an active Printful account connected to your Shopify store
• Have the legal authority to enter into this agreement on behalf of any business you represent
• Comply with Shopify's Partner Programme Policies and Printful's Terms of Service

Your account and responsibilities

Your Profit Sentry account is tied to your Shopify store. You are responsible for:

• Maintaining the security of your Shopify and Printful accounts
• Configuring your protection modes and target margins accurately
• Reviewing automated actions taken by the Service and correcting any that do not reflect your business intent
• Ensuring your retail prices remain compliant with any marketplace rules, MAP policies, or legal requirements applicable to your business

You are solely responsible for verifying the accuracy of margin calculations and the appropriateness of any automated price changes made by the Service on your behalf.

Permitted use

You may use the Service only for lawful business purposes in connection with your legitimate Shopify store. You agree not to:

• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use the Service to engage in price manipulation that violates applicable law or platform policies
• Circumvent, disable, or interfere with security-related features of the Service
• Use the Service to access, scrape, or harvest data from Shopify or Printful in ways that violate their terms of service
• Resell, sublicense, or transfer access to the Service to any third party

Billing and payment

Profit Sentry is billed at $9.99 USD per month through Shopify's billing system. By subscribing to the paid plan, you authorise Shopify to charge your payment method on a recurring monthly basis.

All billing is handled directly by Shopify via their App Store billing infrastructure. We do not store or process your payment card information directly. Shopify's billing terms apply: shopify.com/legal/terms.

Prices are quoted in US Dollars and are exclusive of any applicable taxes. You are responsible for any taxes applicable to your subscription in your jurisdiction.

Free trial

New users receive a 7-day free trial with full access to all Profit Sentry Pro features. No credit card is required to begin the trial.

At the end of the trial period, your subscription will automatically convert to the paid plan ($9.99/month) via Shopify's billing system unless you cancel before the trial expires. You will receive a reminder notification before the trial ends.

Each Shopify store is eligible for one free trial period only. We reserve the right to revoke trial access if we reasonably believe it is being used abusively.

Cancellation and refunds

You may cancel your Profit Sentry subscription at any time by uninstalling the app from your Shopify Admin. Cancellation takes effect immediately. You will retain access to the Service until the end of your current paid billing period.

We do not provide pro-rated refunds for partial billing periods. If you believe you have been billed in error, please contact us within 30 days at billing@profitsentry.app and we will investigate promptly.

Third-party API access

The Service relies on access to Shopify and Printful APIs. You grant us authorisation to access your Shopify store data and Printful account data via their respective OAuth flows, limited to the permissions disclosed during installation and described in our Privacy Policy.

We are not responsible for interruptions to the Service caused by changes to, or downtime of, the Shopify or Printful APIs. We will make reasonable efforts to maintain compatibility with API updates.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or free from security vulnerabilities
• Every Printful cost change will be detected and acted upon without delay
• Automated price adjustments will always produce a positive margin outcome
• The Service will be compatible with all future versions of Shopify or Printful

You are responsible for monitoring your store's pricing and margins and should not rely solely on the Service as your only protection against margin loss.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, OR LOSS OF DATA — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the above limitations may not apply to you in full.

Indemnification

You agree to indemnify, defend, and hold harmless Profit Sentry and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of Shopify's or Printful's terms of service
• Any pricing decisions made in reliance on automated actions by the Service

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you are violating these Terms, abusing the free trial, or engaging in fraudulent or unlawful activity.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimer, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service will first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you via email and/or a notice within the Profit Sentry dashboard at least 14 days before the changes take effect.

Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should cancel your subscription before the effective date.
